Paratus Terms of Use

These Terms of Use (“Terms”) are a legal agreement between Paratus AI, Inc. (“Paratus,” “we,” “us,” or “our”) and any individual or entity who accesses or uses:

  • Our public websites, including https://www.getparatus.com and any other site that links to these Terms; and/or
  • Any Paratus-hosted online services that you access without a separate written agreement that expressly supersedes these Terms.

We refer to these collectively as the “Services.”

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.

These Terms are intended to apply primarily to website visitors and users of Paratus-hosted services that are not already governed by a separate written agreement with Paratus (for example, a government contract, pilot agreement, or master subscription agreement).

1. Relationship to other agreements

1.1 Separate agreements prevail.

If you or your organization (for example, a U.S. Government agency, military unit, or other enterprise customer) has entered into a separate written agreement with Paratus that governs your use of any Paratus products or services, that agreement will control to the extent it conflicts with these Terms.

1.2 Government use.

Use of Paratus by the U.S. Government or any other public-sector entity is subject to the terms of the applicable government contract and any mandatory statutory or regulatory requirements. These Terms apply only to the extent they are consistent with that contract and applicable law.

1.3 Operational use and authorizations.

Use of Paratus in production environments and/or to process mission-critical or controlled information may be subject to additional documentation and approvals issued or approved by the relevant mission owner or contracting authority. Nothing in these Terms is intended to expand or limit any such authorization.

2. Eligibility and authority

2.1 Minimum age.

You must be at least 18 years old to use the Services.

2.2 Authority for organizations.

If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and “you” will refer to both you as an individual and that organization.

3. Account registration and security

3.1 Account information.

To access certain parts of the Services, you may be required to create an account or we may create one for you. You agree to provide accurate information and to keep it up to date.

3.2 Account security.

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must promptly notify us at info@getparatus.com if you become aware of any unauthorized access to or use of your account.

3.3 No account sharing.

You may not share your login credentials or allow others to access the Services using your account unless expressly authorized in writing.

4. Permitted use and data responsibilities

4.1 General use.

Subject to these Terms and any applicable separate agreement with Paratus, you may use the Services for your internal business or organizational purposes.

4.2 Sensitive and controlled information.

The Paratus platform is engineered to support handling of sensitive government information when deployed in an appropriately secured environment and when such use is authorized by the applicable mission owner, contracting authority, and/or Authorizing Official.

Whether you may submit CUI or other controlled information depends on the specific environment you are using:

  • For environments expressly designated and approved by the mission owner or contracting authority to handle CUI or other controlled information, your use of such information must comply with the applicable contract, authorization package, and any system-specific privacy notices.
  • For our public website and for any Paratus-hosted environment that has not been clearly identified to you by the mission owner or contracting authority as authorized to handle CUI or other controlled information, you must not submit classified information, CUI, PHI, Social Security numbers, or other mission-critical or sensitive operational data.

If you are unsure whether a particular Paratus environment has been approved to handle CUI or other controlled information, you should refrain from submitting such information, and instead consult your mission owner or contracting authority.

4.3 Acceptable use.

You agree that you will not, and will not allow any third party to:

  • Use the Services in violation of any applicable law, regulation, or government policy;
  • Attempt to gain unauthorized access to any systems, networks, or data;
  • Interfere with or disrupt the integrity or performance of the Services;
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of any software used to provide the Services, except to the limited extent permitted by applicable law;
  • Remove, alter, or obscure any proprietary notices or disclaimers on the Services; or
  • Use the Services to build or improve a competing product or service.

5. User content and data

5.1 Your data.

Your Data” means any data, content, or information that you or your users submit to or generate within the Services (for example, exercise scenarios, training records, or generic test data), excluding Paratus materials.

As between you and Paratus, you retain ownership of Your Data. You grant Paratus a non-exclusive, worldwide, royalty-free license to host, use, process, transmit, and display Your Data only as reasonably necessary to provide and support the Services, to comply with law, and as otherwise described in our Privacy Policy.

5.2 Anonymized and aggregated data.

We may generate de-identified and/or aggregated data from Your Data and usage of the Services (for example, general usage metrics that do not identify you or your organization) and may use such data to analyze and improve our products and services.

5.3 Your responsibility for data.

You are responsible for ensuring that:

  • You have all rights, permissions, and consents necessary to submit Your Data to the Services; and
  • Your use of the Services and Your Data complies with these Terms, applicable law, and any contractual or policy obligations (including those imposed by your government or enterprise organization).

6. Intellectual property

6.1 Ownership of the Services.

Paratus and its licensors own all right, title, and interest in and to the Services, including all software, documentation, user interfaces, designs, know-how, and other technology, and all associated intellectual property rights. Except for the limited rights expressly granted in these Terms, we do not grant you any rights to the Services or our intellectual property.

6.2 Limited license.

Subject to your compliance with these Terms and any applicable separate agreement, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your internal purposes, in accordance with any documentation and with any applicable government or enterprise agreement.

7. Feedback

If you provide us with any feedback, suggestions, or ideas about the Services (“Feedback”), you grant Paratus a perpetual, irrevocable, worldwide, royalty-free license to use, copy, modify, create derivative works based on, and otherwise exploit the Feedback for any purpose, without restriction or compensation to you.

8. Third-party services and links

The Services may contain links to third-party websites or services or may enable access to certain third-party tools or content. We do not control and are not responsible for such third parties. Your use of any third-party websites, services, or tools is at your own risk and may be subject to separate terms and privacy policies.

9. Privacy

Your use of the Services is subject to our Privacy Policy, which explains how we collect, use, and share information in connection with the Services. The Privacy Policy is incorporated by reference into these Terms.

10. Security

We use reasonable administrative, technical, and physical safeguards designed to protect information processed via the Services. The Paratus platform is engineered for deployment within secured environments and to support implementation of controls consistent with applicable U.S. Department of Defense and NIST cybersecurity requirements (such as NIST SP 800-171), when configured and authorized accordingly by the relevant mission owner or contracting authority.

However, no system can be guaranteed to be 100% secure. You acknowledge that there are inherent risks in transmitting information over the internet and storing information electronically, and that we cannot guarantee absolute security of the Services.

Nothing in these Terms is intended to override any more specific security commitments in a separate written agreement with a government or enterprise customer.

11. Disclaimers

To the maximum extent permitted by applicable law, and subject to any contrary obligations under a separate written agreement with you or your organization:

  • the Services are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory;
  • we disclaim all implied warranties, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement; and
  • we do not warrant that the Services will be error-free, uninterrupted, or free of harmful components, or that any defects will be corrected.

Without limiting the foregoing, unless expressly agreed in writing, the Services are not warranted or represented as suitable to serve as a system of record for official readiness reporting or other mission-critical decisions.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

12. Limitation of liability

To the maximum extent permitted by applicable law, and subject to any contrary obligations under a separate written agreement with you or your organization:

12.1 Indirect damages.

In no event will Paratus be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to these Terms or your use of (or inability to use) the Services, even if advised of the possibility of such damages and even if a remedy fails of its essential purpose.

12.2 Aggregate cap.

Paratus’s total aggregate liability arising out of or relating to these Terms or the Services will not exceed the greater of: (a) the amounts (if any) you paid to Paratus for access to the relevant Services during the six (6) months immediately preceding the event giving rise to the claim; or (b) one hundred U.S. dollars (US$100).

12.3 Exceptions.

These limitations do not apply to the extent prohibited by applicable law. If you are a U.S. Government user, the limitations and disclaimers in these Terms apply only to the extent permitted by applicable federal law and your governing contract.

13. Indemnification

To the extent permitted by applicable law, and except where prohibited for public-sector entities, you agree to indemnify, defend, and hold harmless Paratus and its officers, directors, employees, and agents from and against any third-party claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • your use of the Services in violation of these Terms or applicable law; or
  • your submission of any data or content to the Services where you lack the necessary rights or authorizations.

This Section does not apply to the U.S. Government or other public-sector entities to the extent it is inconsistent with applicable law or the terms of the governing contract.

14. Modifications, suspension, and termination

14.1 Changes to the Services.

We may modify, suspend, or discontinue all or part of the Services at any time, with or without notice, provided that we will not materially reduce the functionality of paid services covered by a separate written agreement except as permitted by that agreement.

14.2 Changes to these Terms.

We may update these Terms from time to time. If we make material changes, we will provide notice (for example, by posting a notice on the website or by email). Your continued use of the Services after the updated Terms become effective constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Services.

14.3 Suspension or termination.

We may suspend or terminate your access to the Services at any time if we reasonably believe you have violated these Terms, created risk or possible legal exposure for us, or stopped using the Services. You may stop using the Services at any time.

15. Governing law and dispute resolution

15.1 Governing law.

Except to the extent otherwise required by applicable law or a separate written agreement, these Terms and any dispute arising out of or related to them will be governed by the laws of the State of Delaware, without regard to its conflict of laws rules.

15.2 Venue.

Except where prohibited by law or overridden by a government contract, any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in San Francisco, California, and you consent to the personal jurisdiction of such courts.

15.3 Public-sector carve-out.

If you are a U.S. Government agency or other public-sector entity, this Section 15 applies only to the extent it is consistent with applicable law and your governing contract. Nothing in these Terms is intended to waive sovereign immunity or to supersede mandatory dispute resolution procedures (such as those under the Contract Disputes Act).

16. Miscellaneous

  • Entire agreement. These Terms, together with the Privacy Policy and any additional terms we expressly reference, form the entire agreement between you and Paratus regarding the Services, except where overridden by a separate written agreement.
  • Severability. If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
  • No waiver. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
  • Assignment. You may not assign or transfer these Terms or your rights or obligations under them without our prior written consent. We may assign these Terms without restriction in connection with a corporate transaction or otherwise.
  • Relationship of the parties. Nothing in these Terms creates a partnership, joint venture, or agency relationship between you and Paratus.
